1、 Overview of guarantee
Sichuan development Guorun Water Investment Co., Ltd. (hereinafter referred to as “Guorun water”), a wholly-owned subsidiary of Beijing Spc Environment Protection Tech Co.Ltd(002573) (hereinafter referred to as “the company”), provided a guarantee in the form of balance making up for the total financing of 76 million yuan in the financial leasing contract signed between its holding subsidiary Mianyang Xinyong water supply Co., Ltd. (hereinafter referred to as “Xinyong water supply”) and China Merchants Bank Financial Leasing Co., Ltd, The term is 5 years. Mianyang water (Group) Co., Ltd., the shareholder of Xinyong water supply (holding 6% equity of Xinyong water supply), is unable to provide guarantee for Xinyong water supply due to the provisions of relevant documents of Mianyang municipal government. Other natural person shareholders of Xinyong water supply (holding 38% equity of Xinyong water supply in total) provide joint and several liability guarantee counter guarantee for the financing of Xinyong water supply according to their shareholding ratio.
According to the relevant provisions of the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, this guarantee belongs to the situation that the holding subsidiary of the listed company provides guarantee for the legal person within the scope of the consolidated statements of the listed company. The internal decision-making procedures of the subsidiary Guorun water have been fulfilled and need not be submitted to the board of directors and the general meeting of shareholders for deliberation. This guarantee is not a related party transaction.

3、 Main contents of the guarantee agreement
The main contents of the balance replenishment agreement signed between Guorun water and CMB Financial Leasing Co., Ltd.:
Guorun water is the fulfillment of the financial leasing contract (No. cd46hz2112273112) signed between Zhaoyin Financial Leasing Co., Ltd. and Mianyang Xinyong water supply Co., Ltd, Guorun water is the lessee under the lease contract (Mianyang Xinyong water supply Co., Ltd.) and is jointly and severally liable for the outstanding part of the debt of CMB Financial Leasing Co., Ltd.
1. Guarantee amount: the unpaid part of all creditor’s rights under the lease contract within the scope of difference supplement, including but not limited to the total rent payable according to the lease contract, liquidated damages, lease deposit, damages and other payables;
2. Guarantee method: Xinyong water supply provides accounts receivable pledge guarantee for all debts under its financial lease contract, and Guorun water undertakes joint and several liability for making up the difference for the outstanding part of the debts under the financial lease contract of Xinyong water supply;

4、 The impact of the guarantee provided by the wholly-owned subsidiary to its holding subsidiary
Guorun water provides guarantee for its holding subsidiary Xinyong water supply, which is conducive to meeting the capital needs of its overall business development. There is no damage to the interests of the company and shareholders, and will not have an adverse impact on the normal operation and business development of Guorun water.
5、 Accumulated external guarantees and overdue guarantees
After this guarantee, the total balance of external guarantee of the company and its holding subsidiaries is 138695500 yuan, accounting for 29.68% of the audited net assets of the company in 2020; The total amount of guarantees provided by the company and its holding subsidiaries to entities outside the consolidated statements is 475.0588 million yuan, accounting for 10.17% of the company’s audited net assets in 2020; The company and its holding subsidiaries have no overdue guarantees, guarantees involving litigation and losses due to the judgment of losing the guarantee.
