As an independent director of the company in accordance with the company law, the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shenzhen Stock Exchange, the guidelines for the standardized operation of listed companies of Shenzhen Stock Exchange, the articles of association of Modern Avenue Group Co.Ltd(002656) (hereinafter referred to as the “company”), the working system of independent directors and other relevant provisions, Carefully considered the relevant matters submitted to the fourth meeting of the Fifth Board of directors, and carefully read the relevant materials provided by the company. Based on independent judgment, we hereby give the following prior approval opinions:
1、 Opinions on the company’s reappointment of the audit institution in 2022
Zhongshen Zhonghuan Certified Public Accountants (special general partnership) is an accounting firm with securities and futures related business qualifications. In the process of practicing, it can follow independent, objective and fair professional standards, and the report issued can objectively and truly reflect the company’s financial status and operating results, showing good professional ethics. In order to maintain the continuity of financial audit, it is agreed to renew the appointment of zhongshenzhonghuan as the company’s audit institution in 2022, and it is agreed to submit the proposal to the board of directors of the company for deliberation.
