Without the approval or authorization of the general meeting of shareholders and the board of directors, the former actual controller, the chairman of the eighth board of directors and the chairman of the ninth board of directors of the company used the company’s official seal for many times as a co borrower or guarantor in the name of the company to provide guarantee for the financing of the original controlling shareholder and its related parties and the related parties of the original actual controller. The total amount of guarantee was 2157404200 yuan, which was invalid due to the judgment of the court The original actual controller paid off, the actual controller acquired the creditor’s rights and exempted the company from relevant responsibilities, which solved some illegal guarantee problems. As of the disclosure date of this report, the balance of principal and interest of illegal guarantee was about 6459108 million yuan.
Due to the illegal guarantee, some bank accounts of the company and the equity of subsidiaries held by the company have been frozen by the court. At present, the illegal guarantee case is still under trial in the court. If the court decides that the company shall bear the guarantee responsibility and pay off the relevant debts, it may have a great impact on the financial situation of the company and affect the interests of the company and minority shareholders.
