The actual controller of the company, the chairman of the 8th board of directors and the former chairman of the 9th board of directors, without the approval or authorization of the general meeting of shareholders and the board of directors of the company, used the official seal of Gaosheng holding company for many times as a co borrower or guarantor in the name of the company to provide guarantee for the financing of the controlling shareholder and its related parties and the related parties of the actual controller, with a total amount of 2157404200 yuan, As of the disclosure date of this report, the balance of principal and interest is 2085784800 yuan. Due to the failure of major shareholders and their related parties to pay off the loans in time, the company was ruled by justice, and some bank accounts of the company were frozen by justice, which affected the normal production and operation of the company. The company may pay off relevant debts due to undertaking the guarantee liability, which may have a great impact on the company’s financial situation and affect the interests of the company and minority shareholders. The Asia Pacific (Group) accounting firm (special general partnership) has issued the audit report with qualified opinions on the company. The board of directors and the board of supervisors of the company have issued special instructions on relevant matters, and the independent directors have issued independent opinions. The audited net profit attributable to the shareholders of the listed company in 2018 is negative, and the net profit attributable to the shareholders of the listed company in 2019 is negative. According to article 13.2.1 of the Listing Rules of Shenzhen Stock Exchange, Shenzhen Stock Exchange will continue to implement delisting risk warning for the company’s shares.
