Suzhou Herui Kunwu Jiuding Investment Holdings Co.Ltd(600053) Center (limited partnership) (hereinafter referred to as “Herui Jiuding”), a shareholder holding more than 5% of the company, and Shenzhen huangtingrenhe investment partnership (limited partnership) (hereinafter referred to as “huangtingrenhe”) signed the share transfer agreement on January 9, 2020, Herui Jiuding plans to transfer Shenzhen Wongtee International Enterprise Co.Ltd(000056) 58875776 A-share non tradable shares held by Herui Jiuding (accounting for about 5.01% of the total share capital of the company and about 5.04% of the total share capital of Shenzhen Wongtee International Enterprise Co.Ltd(000056) after excluding the shares in the current repurchase special securities account) to the imperial court by agreement. Affected by the epidemic situation and industrial policy adjustment, Huangting people have not fulfilled the above share transfer agreement. On January 12, 2022, Huangting people and signed a cooperation agreement with Bank of China (Shenzhen) Financial Holding Co., Ltd. (hereinafter referred to as “Bank of China”), which agreed that bank of China would transfer 58875776 Shenzhen Wongtee International Enterprise Co.Ltd(000056) A shares of the subject shares agreed in the above share transfer agreement through competitive trading, block trading and other means permitted by laws and regulations, And pay the transferee of the subject shares to Herui Jiuding. After the Bank of China pays the corresponding amount according to the cooperation agreement, Huangting and are responsible for coordinating and ruijiuding to transfer the corresponding number of shares to the name of Bank of China.
Huangting person and executive partner are Shenzhen Huangting Investment Management Co., Ltd., which is a company controlled by Mr. Zheng Kanghao, the actual controller of the company.
