Announcement on the general election of the board of supervisors of the company
The company and all members of the board of supervisors guarantee that the contents of the announcement are true, accurate and complete without false records, misleading statements or major omissions.
The second board of supervisors of Sunshine Global Circuits Co.Ltd(300739) (hereinafter referred to as “the company”) is about to expire. According to the company law, the Listing Rules of GEM stocks of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 2 – standardized operation of GEM listed companies, the articles of association and other relevant provisions, The company decided to conduct the general election of the board of supervisors in accordance with relevant legal procedures.
The company held the 31st (temporary) meeting of the second board of supervisors on January 12, 2022, and deliberated and adopted the proposal on the general election of non employee representative supervisors of the third board of supervisors. It is agreed to nominate Ms. Tan Liping and Ms. Zhang Yanfen as candidates for non employee representative supervisors of the third board of supervisors of the company (see Annex for resumes of the above candidates).
According to the relevant provisions of the articles of association, the board of supervisors of the company is composed of 3 supervisors, including 2 non employee representative supervisors and 1 employee representative supervisor. The above two candidates for non employee representative supervisors need to be submitted to the second extraordinary general meeting of shareholders in 2022 for deliberation, and the cumulative voting system shall be adopted to vote each candidate separately. After being deliberated and approved by the general meeting of shareholders, the third board of supervisors of the company shall be jointly formed with the employee representative supervisors democratically elected by the employee congress. The term of office is three years, calculated from the date of adoption of the second extraordinary general meeting of shareholders in 2022.
After the general election, Ms. Tian Lihua, the supervisor of the second board of supervisors of the company, will no longer serve as a supervisor. The company expresses its heartfelt thanks for his diligent work during his tenure and his contribution to the development of the company.
