1、 Transaction overview
Tianjin Teda Co.Ltd(000652) (hereinafter referred to as “the company”) held the sixth (Interim) meeting of the 10th board of directors and the Sixth General Meeting of shareholders in 2021 on October 25, 2021 and November 10, 2021 respectively, and deliberated and adopted the proposal on the implementation of market-oriented debt to equity swap by TEDA environmental protection, the holding subsidiary, Tianjin TEDA environmental protection Co., Ltd. (hereinafter referred to as “TEDA environmental protection”), the holding subsidiary of the company, is approved to introduce Agricultural Bank of China Financial Asset Investment Co., Ltd. (hereinafter referred to as “Agricultural Bank Investment”), China Resources Asset Management Co., Ltd. and Shaanxi Financial Asset Management Co., Ltd. (Shaanxi capital) to implement market-oriented debt to equity swap for their capital increase.

On January 12, 2022, TEDA environmental protection completed the change of industrial and commercial registration and obtained a new business license. After the capital increase, the registered capital of TEDA environmental protection increased from 80 million yuan to 12787737800 yuan. The company’s shareholding ratio in TEDA environmental protection was 62.5208%, the shareholding ratio of other shareholders of TEDA environmental protection Tianjin Environmental Sanitation Engineering Design Institute Co., Ltd. was 0.0391%, the shareholding ratio of Agricultural Bank of China investment was 29.9521%, and the shareholding ratio of Shaanxi financial capital was 7.4880%.
