Zhejiang Haers Vacuum Containers Co.Ltd(002615) (hereinafter referred to as “the company”) convened the 15th meeting of the Fifth Board of directors on January 12, 2022, and deliberated and adopted the remuneration plan for senior managers in 2022. In accordance with the articles of association, detailed rules for the work of the remuneration and assessment committee of the board of directors and other relevant systems of the company, in order to fully mobilize the enthusiasm and creativity of the company’s senior managers, improve the operation and management level, and promote the steady, effective, long-term and healthy development of the company, according to the principle of coordination of risks, responsibilities and interests, It is formulated in combination with the actual operation of the company and with reference to the salary level of the industry. The specific scheme is as follows:
1、 Senior management compensation scheme
(I) applicable objects of the scheme
Senior management of the company, including President, vice president, chief financial officer and Secretary of the board of directors. (II) applicable period of the scheme
From January 1, 2022 to December 31, 2022.

The total salary of the company’s senior managers consists of basic salary and annual performance salary, and the proportion of basic salary and annual performance salary is 7:3. The specific remuneration of the company’s senior managers in 2022 is as follows:

Following the principle of reward and punishment, in order to encourage the behavior of exceeding the target, when the net profit target is exceeded, 10% – 20% of the excess profit bonus can be withdrawn according to the excess part, which will be distributed by the chairman and President according to their contributions, and will be paid for the first time within one salary cycle after the disclosure of the company’s annual report. The amount allocated in the current year shall not exceed 50% of the total amount; The upper limit of individual distribution shall not exceed his own 6-month standard salary (standard salary = annual salary / 12); If there is any balance after distribution in this year, it can be rolled to the next year. At the same time, follow the principle of making amends with abundance, that is, if the assessment profit is not reached in the next year, the excess profit bonus to be deducted shall be calculated in the same proportion, and the upper limit of deduction shall be the undistributed excess profit bonus of the balance of the previous year.
The basic salary of the company’s senior managers shall be paid on an average monthly basis. The performance salary shall be assessed and calculated according to the company’s operating performance, the personal performance of senior managers and other factors, and the calculation results shall be submitted to the salary and assessment committee of the board of directors for assessment and assessment, which is uncertain.

1. The above salaries are pre tax amounts, and the personal income tax involved is uniformly withheld and paid by the company; 2. Senior managers who hold multiple positions in the company shall receive remuneration according to the principle of high or low for a single position;
3. The board of directors is responsible for the interpretation of this plan. In case of disagreement, it shall be interpreted in accordance with the principle of benefiting the interests of the company and shareholders.

The remuneration plan for senior managers of the company in 2022 is formulated according to the industry and scale of the company and in combination with the actual operation of the company, which is suitable for the development stage and business task setting of the company. The compensation scheme for senior managers in 2022 fully reflects the incentive and restraint mechanism of the company’s existing compensation management system, which can effectively stimulate the work enthusiasm and initiative of senior managers, and is conducive to the long-term operation and development of the company.
The above matters do not harm the interests of the company and all shareholders, especially small and medium-sized investors. When the board of directors of the company deliberated the proposal, the affiliated directors LV Qiang, Wu Zifu, LV Lizhen, ou Yangbo and Wu Rulai have avoided voting, and the relevant decision-making procedures, voting process and voting results comply with relevant national laws, regulations, normative documents and the articles of association.
