Announcement on the remuneration scheme of directors, supervisors and senior managers in 2022

According to the articles of association, the rules of procedure of the remuneration and assessment committee of the board of directors and other rules and regulations, combined with the actual situation of the company’s business scale and with reference to the salary level of the industry, the remuneration scheme for directors, supervisors and senior managers of the company in 2022 is formulated. The details are as follows:

1、 Remuneration plan for directors of the company in 2022

1. Non independent director

The company’s chairman’s basic annual salary and performance bonus are composed of two parts. The basic annual salary will be paid monthly, and the performance bonus will be paid in the next year according to the annual performance appraisal results. Directors of the company who hold management positions in the company shall receive remuneration according to their management positions. Directors who do not hold management positions shall not receive remuneration in the company.

2. Independent director

The independent directors of the company receive the independent director allowance in the company, and the allowance standard is 120000 yuan per year.

2、 Remuneration plan for supervisors of the company in 2022

The supervisors of the company receive 12000 yuan of supervisor allowance from the company every year and receive remuneration according to the salary standard of their main positions.

3、 2022 compensation plan for senior managers of the company

The remuneration of senior managers of the company consists of two parts: basic annual salary and performance bonus. The basic annual salary will be paid monthly, and the performance bonus will be paid in the next year according to the annual performance appraisal results.

In 2022, the basic annual salary of the general manager of the company shall not exceed 2 million yuan, and the basic annual salary of the deputy general manager shall not exceed 1.5 million yuan.

4、 Other matters

1. The above salaries are pre tax amounts, and the personal income tax involved will be uniformly withheld and paid by the company.

2. If directors, supervisors and senior managers leave office due to change of office, re-election, resignation during their term of office and other reasons, the remuneration shall be calculated and paid according to their actual term of office.

5、 Independent opinions of independent directors

According to the salary level of the industry and region, combined with the actual situation of the company’s operation and development, the company’s salary scheme is reasonable and in line with the actual situation of the company, which is conducive to improving the competitiveness of the company, ensuring the realization of the company’s development strategic objectives and in line with the interests of investors. It is agreed to submit this proposal to the 2021 annual general meeting of shareholders of the company for deliberation.
