In accordance with the rules for independent directors of listed companies, the guidelines for the performance of duties of independent directors of listed companies, the Listing Rules of Shanghai Stock Exchange and the articles of association of Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) company, we are independent directors of Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) (hereinafter referred to as ” Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) ” or “the company”), Reviewed the proposal of Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) on adjusting the profit distribution plan in 2021 considered at the 38th meeting of the ninth board of directors of the company. In accordance with relevant regulations and based on our objective and independent judgment, we hereby express the following independent opinions on relevant matters:
In view of the fact that the company has completed the stock grant registration procedures for the incentive object and enjoys the due rights of the stock after registration and transfer, the board of directors of the company plans to adjust the profit distribution plan for 6 Zhejiang Zhongcheng Packing Material Co.Ltd(002522) 021 from the perspective of safeguarding the interests of all shareholders. The adjusted profit distribution plan complies with relevant laws and regulations, normative documents and the articles of association, There is no situation that damages the interests of the company’s shareholders, especially the minority shareholders.
Guangxi Investment Group Co., Ltd., the controlling shareholder of the company, submitted the letter of guangtou group on the proposal of 6 Zhejiang Zhongcheng Packing Material Co.Ltd(002522) 021 annual general meeting to the board of directors of the company, and requested the board of directors to submit the proposal of Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) on adjusting the profit distribution plan of 2021 to the 2021 annual general meeting as a new interim proposal for deliberation.
We agree to adjust the profit distribution plan and submit the adjusted profit distribution plan to the general meeting of shareholders for deliberation.
