Tianjin Keding friend refers to Tianjin Keding friend information technology center (limited partnership), formerly known as “Beijing Keding friend Investment Management Center (limited partnership)”
Beijing rongshang Liyuan refers to Beijing rongshang Liyuan Investment Co., Ltd

2、 Evolution of share capital since the establishment of the company
(I) in November, 2011, Zhongke Jiangnan Co., Ltd. was established
1. Industrial and commercial registration
On november1,2011, zhaofangxing and Liu Ping jointly signed the articles of association of Zhongke Jiangnan Co., Ltd. and contributed to the establishment of Zhongke Jiangnan Co., Ltd. with a registered capital of 5million yuan, of which zhaofangxing subscribed
4 million yuan, 2.4 million yuan paid in, 1 million yuan subscribed by Liu Ping and Shanghai Pudong Development Bank Co.Ltd(600000) yuan paid in, all in currency.
On November 2, 2011, Zhao Fangxing and Liu Ping paid 3 million yuan to Zhongke Jiangnan Co., Ltd. On November 8, 2011, Zhongke Jiangnan Co., Ltd. obtained the business license with Registration No. 110108014388637 issued by Haidian Branch of Beijing Administration for Industry and commerce.
On November 23, 2015, Daxin Certified Public Accountants (special general partnership) verified the paid in registered capital of Zhongke Jiangnan Co., Ltd. when it was established and issued the capital verification report (daxinyz [2015] No. 400054).

2. Actual contribution
When Zhongke Jiangnan Co., Ltd. was established, based on the purpose of implementing the continuous ESOP plan and taking into account the certain uncertainty of team construction in the early stage of establishment, in order to facilitate the handling of industrial and commercial registration procedures, Zeng Jicai and other 12 actual investors entrusted Zhao Fangxing and Liu Ping to hold the equity on behalf of them. Therefore, when Zhongke Jiangnan Co., Ltd. was established, the actual capital contribution was as follows:

(II) in March 2012, Zhongke Jiangnan Co., Ltd. increased its capital
On March 20, 2012, through the resolution of the shareholders’ meeting, it was agreed that the registered capital of Zhongke Jiangnan Co., Ltd. was increased from 5 million yuan to 9 million yuan.
Beijing rongshang Liyuan Investment Co., Ltd. (hereinafter referred to as “Beijing rongshang Liyuan”) subscribed an additional capital contribution of 4 million yuan, and the capital increase price is 4 million yuan, all in currency.
On March 21, 2012, Beijing rongshang Liyuan has paid a capital increase of 4 million yuan to Zhongke Jiangnan Co., Ltd. On March 26, 2012, Zhongke Jiangnan Co., Ltd. completed the industrial and commercial change registration procedures.
On November 23, 2015, Daxin Certified Public Accountants (special general partnership) verified the newly increased registered capital and paid in capital and issued the capital verification report (daxinyz [2015] No. 400055).

(III) in April 2012, Zhongke Jiangnan Co., Ltd. increased its capital
On April 18, 2012, the shareholders’ meeting agreed to increase the registered capital of Zhongke Jiangnan Co., Ltd. from 9 million yuan to 16 million yuan. Beijing rongshang Liyuan, Zhao Fangxing and Liu Ping subscribed 4.1 million yuan, 2.32 million yuan and 580000 yuan respectively. The price of each yuan of registered capital is 1 yuan, all in currency.
On April 23, 2012, Beijing rongshang Liyuan has paid a capital increase of 4.1 million yuan to Zhongke Jiangnan Co., Ltd. On April 26, 2012, Zhongke Jiangnan Co., Ltd. completed the industrial and commercial change registration procedures.

1. Industrial and commercial registration
On February 18, 2013, the resolution of the shareholders’ meeting agreed that the paid in capital of Zhongke Jiangnan Co., Ltd. was increased from 11.1 million yuan to 12.6 million yuan. Among them, Zhao Fangxing and Liu Ping made monetary contributions of 1 million yuan and 500000 yuan respectively.
On February 18, 2013, Liu Ping has paid 500000 yuan to Zhongke Jiangnan Co., Ltd. and Zhao Fangxing has paid 1 million yuan to Zhongke Jiangnan Co., Ltd. On February 20, 2013, Zhongke Jiangnan Co., Ltd. completed the industrial and commercial change registration procedures.
