Independent opinions on the appointment of senior managers by the company

In accordance with the guiding opinions on the establishment of independent director system in listed companies, the guidelines for the governance of listed companies, the articles of association and other relevant provisions of the CSRC, as independent directors of the company, based on our independent judgment, we express the following opinions on the appointment of senior managers:
1. The decision-making procedures for the nomination, appointment and removal of relevant personnel comply with the relevant provisions of the company law, the articles of association and relevant laws and regulations.
2. After learning about the educational background, work experience, professional ability and professional quality of Du Jianhong, Zhang Guofu, Zhao Xinrong, Wang Xiaojun, Qiao Jun and Wang Hongyun, we believe that the above personnel are qualified for the requirements of the post responsibilities, It is not found that it has the circumstances specified in Article 147 of the company law or that it is determined by the CSRC as a market prohibited person and the prohibition has not been lifted, and its qualification meets the provisions on the qualification of senior managers in the company law and the articles of association.
3. We agree to appoint Du Jianhong as the general manager of the company; Zhang Guofu and Zhao Xinrong are deputy general managers; Wang Xiaojun is the chief financial officer; Qiao Jun is the general counsel; Wang Hongyun is the Secretary of the board of directors.
