Announcement on the resignation of the chairman

The board of directors of Caitong Securities Co.Ltd(601108) (hereinafter referred to as “the company”) received the resignation report submitted by Mr. Lu Jianqiang, director and chairman of the company, on January 11, 2022. Mr. Lu Jianqiang applied to resign as a director, member of the strategy committee of the board of directors and chairman of the board of directors due to organizational transfer.
According to the company law, the articles of association and other relevant provisions, Mr. Lu Jianqiang’s resignation will not cause the number of members of the board of directors to be lower than the minimum quorum and will not affect the normal operation of the board of directors. The resignation of Mr. Lu Jianqiang shall take effect when the resignation report is delivered to the board of directors of the company. After his resignation, Mr. Lu Jianqiang no longer held any position in the company. The board of directors of the company will complete the formalities of acting chairman and the election of new chairman as soon as possible.
