Remuneration plan for directors and supervisors in 2022

In order to further improve the incentive and restraint mechanism of Tellgen Corporation(300642) (hereinafter referred to as “the company” or ” Tellgen Corporation(300642) “) and fully mobilize the work enthusiasm of directors (including independent directors) and supervisors of the company, the remuneration and assessment committee of the board of directors formulates this plan in accordance with relevant national laws, regulations and the articles of association, as well as the income level of the industry and region, and in combination with the actual situation of the company.

1、 Applicable objects of this scheme

Directors (including independent directors) and supervisors of the company.

2、 Application period of this scheme

The applicable time limit of this plan is from January 1, 2022 to December 31, 2022, which will come into force after being deliberated and approved by the general meeting of shareholders of the company.

3、 Salary principle

(I) responsibility principle: the salary standard shall be determined according to the factors such as job position, work performance, contribution and the combination of rights and responsibilities.

(II) competition principle: the salary level shall refer to the standards of similar listed companies in the same industry and region to maintain the attractiveness of the company’s salary and its competitiveness in the market.

4、 Implementation procedure

After the plan is reviewed and approved by the general meeting of shareholders, the personnel department and Finance Department of the company are authorized to be responsible for the specific implementation of the plan.

5、 Salary composition and standard

(I) directors’ remuneration scheme

1. Independent Directors receive an allowance of 120000 yuan per month in the company. 2. Non independent directors who do not hold positions other than directors in the company will not receive director’s allowance in principle.

3. Non independent directors who concurrently hold other positions in the company will receive corresponding remuneration according to their positions and will no longer receive allowances.

(II) remuneration scheme for supervisors

1. Supervisors who do not hold other positions in the company will not receive allowances in the company.

2. Supervisors who concurrently hold other positions in the company will receive corresponding remuneration according to their positions and will no longer receive allowances.

6、 Other matters

1. The above salary amounts are pre tax amounts. The company will withhold and pay individual income tax in accordance with the relevant provisions of the state and the company, and the rest will be paid on a monthly basis.

2. If the directors and supervisors of the company leave their posts due to the change of office, re-election, resignation within the term of office and other reasons, they shall be calculated and paid according to their actual term of office.

3. If part of the salary paid monthly in 2022 has been received according to the 2021 standard before the scheme takes effect, the company will adjust it in the next month after the scheme takes effect to ensure that the annual salary in 2022 is implemented according to the scheme.

4. This plan shall be formally implemented after being deliberated and approved by the board of directors and the general meeting of shareholders of the company, and the same shall apply to the amendment and repeal.

5. The remuneration and assessment committee of the board of directors of the company is responsible for the interpretation of this plan.
