Announcement on adjusting the company’s organizational structure
The company and all members of the board of directors guarantee that the information disclosed is true, accurate and complete without false records, misleading statements or major omissions.
Tianjin Guangyu Development Co.Ltd(000537) (hereinafter referred to as “the company”) convened the 19th meeting of the 10th board of directors on January 11, 2022, deliberated and adopted the proposal on adjusting the company’s organizational structure. According to the needs of main business development, it is proposed to adjust the company’s organizational structure, as follows:
1、 Setting of original organization
Before this adjustment, the company set up 8 management departments, namely: comprehensive management department, Party Construction Department of the Party committee (Publicity Department of the Party committee), Discipline Inspection Commission Office (inspection office), development planning department (operation management department), financial assets department, securities department, audit department and Tianjin liaison office.
2、 Organization adjustment
1. Four new departments are established, namely the Organization Department of the Party committee (Human Resources Department), materials department, ecology, safety and quality department and production and operation Department (operation monitoring center).
2. Integrate and adjust 5 departments, among which the Party Construction Department of the Party committee (Party Committee Publicity Department) is adjusted to the Party Construction Department of the Party committee (Party Committee Publicity Department and patrol office); Adjust the office of the Commission for Discipline Inspection (inspection office) to the Commission for Discipline Inspection; Adjust the development planning department (operation management department) to the planning and development department (International Business Department); Adjust the securities department to the securities affairs department (Office of the board of directors); Adjust the audit department to the audit department (legal compliance department).
3、 Organization of the company after adjustment
After the adjustment, the company’s organizational structure increased to 12, as follows: comprehensive management department, Party Committee Organization Department (Human Resources Department), Party Committee Party Construction Department (Party Committee Publicity Department and patrol office), Discipline Inspection Commission, planning and development department (International Business Department), financial assets department, materials Department, ecology and safety quality department, production and operation Department (operation monitoring center), securities affairs department (Board Office) Audit department (legal compliance department), Tianjin liaison office.
This organizational structure adjustment has no important or substantial impact on the company’s production and operation. 4、 Documents for future reference: resolutions of the 19th session of the 10th board of directors. It is hereby announced.
