Announcement on the replacement of supervisors

Dbappsecurity Co.Ltd(688023) (hereinafter referred to as “the company”) the board of supervisors recently received a written resignation report from Mr. Wang Xin, the non employee representative supervisor of the company, and Mr. Zheng Wu, the employee representative supervisor of the company. Both Mr. Wang Xin and Mr. Zheng Wu applied to resign as supervisors of the company for personal work reasons. After resignation, Mr. Wang Xin will continue to be the president of the company’s Research Institute and Mr. Zheng Wu will continue to be the head of the company’s product management and solutions department. On April 22, 2022, the company held the first employee congress in 2022. The convening and voting procedures of the meeting were in line with the relevant provisions of the decision-making of the employee congress. After democratic discussion and voting, Ms. Zhang Yuefang (see the annex for her resume) was elected as the employee representative supervisor of the second board of supervisors of the company (see the annex for her resume), and her term of office was the same as that of the second board of supervisors of the company.
In view of the fact that after the company elects the new employee representative supervisor, Mr. Wang Xin’s resignation will still cause the members of the board of supervisors of the company to be lower than the minimum quorum, in order to ensure the normal operation of the board of supervisors of the company, according to the company law, the articles of association and other relevant provisions, Mr. Wang Xin’s resignation will take effect from the date when the new supervisor is elected by the general meeting of shareholders of the company, Mr. Wang Xin will continue to perform the duties of supervisor in accordance with the provisions of laws and regulations.
On April 22, 2022, the company held the 15th meeting of the second board of supervisors, deliberated and approved the proposal on replacing the company’s supervisors, and agreed to nominate Ms. Yu linling as the candidate of non employee representative supervisor of the second board of supervisors (see the annex for the resume of supervisor candidates). In accordance with the company law, the articles of association and other relevant provisions, the election of the above-mentioned candidates for supervisors will be submitted to the general meeting of shareholders of the company for deliberation. The term of office of supervisors starts from the date of deliberation and approval by the general meeting of shareholders to the date of expiration of the term of office of the second board of supervisors of the company.
