In accordance with the rules for independent directors of listed companies, the standards for the governance of listed companies, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of main board listed companies, the articles of association, the working system for independent directors and other relevant provisions, Foran Energy Group Co.Ltd(002911) (hereinafter referred to as “the company”) has submitted the relevant materials of the proposal on related transactions with Guangdong Xiaohu LNG Co., Ltd. to us for review before the 21st Meeting of the Fifth Board of directors. As an independent director of the company, on the basis of carefully reading the information provided to us by the board of directors of the company and based on an objective and independent position, we express the following prior approval opinions on relevant matters:
In the proposal on related transactions with Guangdong Xiaohu LNG Co., Ltd. constitute related party transactions, the related financial support matters between the company and Guangdong Xiaohu LNG Co., Ltd. (hereinafter referred to as “Xiaohu company”) are as follows: The loan from Xiaohu company to Guangzhou Yuanheng storage Co., Ltd. (hereinafter referred to as “Yuanheng storage”) and the loan from Yuanheng storage to Xiaohu company are reasonably and fairly priced; The risk of related guarantee matters between Yuanheng warehouse, the holding subsidiary of the company, and Xiaohu company is controllable. The above connected transactions have no impact on the independence of the company, nor do they damage the interests of the company’s shareholders, especially the minority shareholders. We unanimously agreed to submit the proposal to the board of directors of the company for deliberation.
