Announcement on the resignation of independent directors
The board of directors and all directors of the company guarantee that there are no false records, misleading statements or major omissions in the contents of this announcement, and bear individual and joint liabilities for the authenticity, accuracy and completeness of its contents.
The board of directors of Huadian Heavy Industries Co.Ltd(601226) (hereinafter referred to as “the company”) received a written resignation report submitted by Mr. Lu Daming, an independent director, on April 21, 2022. Since Mr. Lu Daming has served as an independent director of the company for more than 6 years, he applies to resign from the position of independent director and relevant positions of the special committee of the board of directors. According to relevant regulations, after the resignation takes effect, Mr. Lu Daming will no longer hold any position in the company.
Due to the resignation of Mr. Lu Daming, the proportion of independent directors in all members of the board of directors is less than one-third. According to the rules for independent directors of listed companies (announcement [2022] No. 14 of China Securities Regulatory Commission), the guidelines for self discipline supervision of listed companies on Shanghai Stock Exchange No. 1 – standardized operation (SSE Fa [2022] No. 2) and the relevant provisions of the articles of association of the company, Mr. Lu Daming’s resignation application will take effect after the new independent director is elected by the general meeting of shareholders of the company. During this period, Mr. Lu Daming will still perform the duties of independent director in accordance with relevant laws, regulations and the articles of association. The company will complete the by election of new independent directors as soon as possible in accordance with relevant regulations.
