Announcement on the remuneration scheme of directors, supervisors and senior managers in 2022

Shanghai Hi-Road Food Technology Co.Ltd(300915) (hereinafter referred to as “the company”) has formulated the remuneration plan for directors, supervisors and senior managers in 2022 in accordance with the articles of association, the working system of remuneration and assessment committee and other relevant systems, combined with the actual operation and development of the company and with reference to the remuneration level of industries and regions. The fourth meeting of the third board of directors of the company was held on April 21, 2022, and the proposal on the remuneration of directors and senior managers in 2022 was considered and adopted. The third meeting of the third board of supervisors was held on the same day, and the proposal on the remuneration of supervisors in 2022 was considered and adopted. The above proposals need to be submitted to the 2021 annual general meeting of shareholders of the company for deliberation. The relevant information is hereby announced as follows:

January 1, 2022 – December 31, 2022

3、 Salary standard

1. Remuneration of directors of the company

(1) The allowance standard for independent directors is 150000 yuan / year (before tax).

(2) The annual allowance standard of the chairman of the company is 1.8 million yuan / year (before tax). Other non independent directors who hold specific positions in the company receive corresponding remuneration according to their actual positions in the company, but do not receive director allowance.

2. Remuneration of supervisors of the company

The company’s supervisors receive remuneration according to their specific positions in the company and subsidiaries and the remuneration assessment system of the company and subsidiaries, and do not receive supervisor allowance.

3. Remuneration of senior management of the company

Senior managers of the company shall receive salary according to the company’s salary assessment system according to their specific positions in the company.

4、 Other provisions

(1) The remuneration of directors, supervisors and senior managers of the company shall be paid on a monthly basis.

(2) The remuneration of directors, supervisors and senior managers of the company who leave office due to their term of office, re-election, resignation during their term of office and other reasons shall be calculated and paid according to their actual term of office.

(3) The above salary amount is the pre tax amount, and the individual income tax involved shall be uniformly withheld and paid by the company. (4) The relevant expenses incurred by independent directors in attending the meetings of the board of directors, the general meeting of shareholders and other meetings of the company and handling other business affairs of the company shall be borne by the company.
