According to Zhejiang Zhengguang Industrial Co.Ltd(301092) (hereinafter referred to as “the company”), the articles of association, the detailed rules for the work of the remuneration and assessment committee and other relevant systems, combined with the actual situation of the company’s business scale and with reference to the industrial remuneration level, the company formulates the remuneration plan for directors, supervisors and senior managers in 2022. The company held the 16th meeting of the 5th board of directors on April 21, 2022, deliberated and adopted the proposal on the remuneration of non independent directors and senior managers and the allowance of independent directors in 2022; The 13th meeting of the 5th board of supervisors was held on the same day, and the proposal on the remuneration of supervisors in 2022 was considered and adopted. 1、 Remuneration standard of directors of the company

In order to ensure directors’ diligence, improve work efficiency and operating efficiency, and ensure the sustainable, stable and healthy development of the company, according to the salary level of comparable companies in the same industry and in combination with the actual operation of the company, it is proposed that the salary standards of directors in 2022 are as follows:

1. The annual salary system is implemented for independent directors, and the allowance standard is 50000 yuan / year after tax, and no other remuneration will be paid separately.

2. If non independent directors hold the position of non director concurrently in the company, such directors will receive remuneration according to their positions and will no longer receive director’s allowance separately; For those who do not hold the position of non director concurrently in the company, the basic salary shall be received according to the relevant contract.

3. The specific payment of the above salary shall be submitted to the general meeting of shareholders to authorize the chairman of the company to make his own arrangement according to the relevant employment contract and labor contract.

2、 Remuneration standard for supervisors of the company

In order to ensure the diligence of supervisors, improve work efficiency and operating efficiency, and ensure the sustainable, stable and healthy development of the company, according to the salary level of comparable companies in the same industry and in combination with the actual operation of the company, it is proposed that the salary standards of supervisors in 2022 are as follows:

External supervisors are not paid in the company, and internal supervisors are paid according to their positions and will not receive supervisor allowance alone.

3、 Compensation standard for senior executives of the company

In order to ensure the diligence of the company’s senior managers, improve work efficiency and operating efficiency, and ensure the sustainable, stable and healthy development of the company, the salary of the company’s senior managers is composed of basic salary and performance salary according to the salary level of comparable companies in the same industry and in combination with the actual operation of the company. The performance salary of the company’s senior managers shall be determined according to the principle of linking the income level with the company’s benefits and work objectives, and the salary distribution shall be determined according to the importance of the position, the responsibilities undertaken, the specific workload, the completion of the work, the market salary and other factors, and shall be assessed and paid according to the company’s performance appraisal management system.

The specific payment of the above salary shall be submitted to the board of directors to authorize the chairman of the company to make his own arrangement according to the relevant employment contract and labor contract.

4、 Opinions of independent directors

After review, we believe that the remuneration scheme and decision-making procedures of directors, supervisors and senior managers in 2022 formulated by the company comply with the provisions of relevant laws and regulations, normative documents and the articles of association, which is conducive to ensuring the diligence of directors, supervisors and senior managers, improving work efficiency and operating efficiency, and promoting the sustainable, stable and healthy development of the company.

Therefore, we unanimously agree to pay the directors, supervisors and senior managers of the company according to this salary scheme.

According to relevant laws and regulations, the remuneration of senior managers does not need to be submitted to the general meeting of shareholders for deliberation. We agree to submit the relevant proposals on the remuneration of the company’s directors and supervisors to the general meeting of shareholders for deliberation.

5、 Other provisions

1. The remuneration of directors, supervisors and senior managers in the company shall be paid monthly according to the relevant contracts signed with the company and the company’s remuneration management system; The allowance for independent directors is also paid on a monthly basis.

2. If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, their salaries or allowances shall be paid in accordance with the company’s salary management system.

3. The individual income tax related to the above salary or allowance shall be uniformly withheld and paid by the company. 4. In accordance with the requirements of relevant laws and regulations and the articles of association, the above-mentioned remuneration scheme for senior managers shall take effect from the date of deliberation and approval by the board of directors, and the remuneration scheme for directors and supervisors shall not take effect until it is submitted to the 2021 annual general meeting of shareholders for deliberation and approval.
