Fujian Sunner Development Co.Ltd(002299) (hereinafter referred to as the “company”) in accordance with the company law of the people’s Republic of China (hereinafter referred to as the “company law”), the securities law of the people’s Republic of China (hereinafter referred to as the “Securities Law”), the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and other relevant laws, regulations and normative documents, It is compiled in combination with the actual situation of the company in performing social responsibility. 2021 is the first year of the “14th five year plan” of Shengnong. While ensuring sustainable and stable development, the company actively performs social responsibilities, protects the rights and interests of shareholders and creditors, protects the interests of employees, protects the rights and interests of suppliers, customers and consumers, continues environmental protection and sustainable development, effectively performs public relations and social public welfare undertakings, and promotes the harmonious development of the company and society. The performance of the company’s social responsibility in 2021 is reported as follows:
1、 Protection of the rights and interests of shareholders and creditors
During the reporting period, the company continued to strengthen the governance structure and standardized operation, improve the daily information disclosure management and investor relations management, and protect the legitimate rights and interests of shareholders, especially minority shareholders and creditors.
1. Corporate governance structure and standardized operation
The company strictly abides by the company law, the securities law, the guidelines for the governance of listed companies (revised in 2018), the stock listing rules of Shenzhen Stock Exchange (revised in 2022) and other requirements related to the governance of listed companies. In combination with the actual situation of the company, constantly update relevant rules and regulations, improve the corporate governance structure and standardized operation, make the rights and responsibilities of the general meeting of shareholders, the board of directors, the board of supervisors and the management clear, perform their duties and check and balance each other, and effectively protect the legitimate rights and interests of stakeholders.
In 2021, the company held 9 meetings of the board of directors, 8 meetings of the board of supervisors and 4 meetings of shareholders. All directors of the company shall, in strict accordance with the articles of association and relevant laws and regulations, make independent, objective and fair judgments on the proposals considered by the board of directors in an honest, diligent and conscientious manner and according to their professional knowledge and ability, and exercise their rights and perform their obligations in accordance with the law. When considering the related party transactions, the related directors strictly implement the avoidance of voting to ensure that the related party transactions are fair and reasonable. This year, the company plans to continue to share earnings with shareholders and is expected to distribute 372 million yuan of cash dividends to shareholders, accounting for 82.98% of the company’s net profit attributable to the parent company in the previous year.
4. Protect the legitimate rights and interests of creditors
In accordance with the requirements of the accounting law of the people’s Republic of China, general principles of enterprise finance and accounting standards for business enterprises, the company establishes asset and fund management system, strengthens fund management and financial review, and effectively implements the company’s internal control, so as to protect the legitimate rights and interests of creditors.
The company fully understands and considers the legitimate rights and interests of creditors, and takes the initiative to communicate major information related to rights and interests with creditors in a timely manner. If creditors need to know about the company’s finance, operation and management in order to safeguard their own interests, the company will give full cooperation and support.
