Proposal II. Proposal on the measures for the administration of employee stock ownership plans in Jiangsu Linyang Energy Co.Ltd(601222) 2022
In order to standardize the smooth implementation of the company’s employee stock ownership plan in 2022, in accordance with the company law, the securities law, the guiding opinions on the pilot implementation of employee stock ownership plan by listed companies, the guidelines on information disclosure of employee stock ownership plan of listed companies on Shanghai Stock Exchange and other relevant laws, administrative regulations and rules The management measures for Jiangsu Linyang Energy Co.Ltd(601222) 2022 employee stock ownership plan are formulated in the normative documents, the articles of association and the provisions of Jiangsu Linyang Energy Co.Ltd(601222) 2022 employee stock ownership plan (Draft).

The proposal has been deliberated and adopted at the 29th meeting of the Fourth Board of directors held on January 10, 2022, and is now submitted to the general meeting of shareholders for deliberation.
Proposal III. proposal on requesting the general meeting of shareholders to authorize the board of directors to handle matters related to the company’s employee stock ownership plan in 2022
In order to ensure the smooth implementation of the company’s employee stock ownership plan in 2022, the company requests the general meeting of shareholders to authorize the board of directors to handle specific matters related to the employee stock ownership plan within the scope specified in relevant laws, regulations and normative documents, including but not limited to the following matters:
(I) authorize the board of directors to handle the establishment and implementation of the employee stock ownership plan, including but not limited to the disqualification of the holder in accordance with the provisions of the employee stock ownership plan;
(II) authorize the board of directors to make decisions on the extension and early termination of the duration of the employee stock ownership plan; (III) authorize the board of directors to handle all matters of locking and unlocking the shares purchased by the employee stock ownership plan;
(IV) authorize the board of directors to explain the draft ESOP;
(V) authorize the board of directors to make decisions on refinancing matters such as participating in the company’s share allotment during the duration of the employee stock ownership plan;
(VI) authorize the board of directors to change the participants and determination criteria of the employee stock ownership plan;
(VII) authorize the board of directors to sign the contract and relevant agreement documents with the employee stock ownership plan;
(VIII) after the ESOP is reviewed and approved by the general meeting of shareholders, if the relevant laws, regulations and policies change during the implementation period, the board of directors of the company shall be authorized to make corresponding adjustments to the ESOP in accordance with the new policies or regulations;
(IX) authorize the board of directors to handle other necessary matters required by the employee stock ownership plan, except the rights to be exercised by the general meeting of shareholders specified in relevant documents.
The above authorization shall be valid from the date of adoption of the general meeting of shareholders to the date of completion of the implementation of the employee stock ownership plan.
