Announcement on the remuneration scheme of directors, supervisors and senior managers

Zhejiang Haiyan Power System Resources Environmental Technology Co.Ltd(688565) (hereinafter referred to as “the company”) has formulated the remuneration plan for the directors, supervisors and managers of the company in 2022 in accordance with relevant laws and regulations, the articles of association and other provisions and in combination with the actual situation of the company. On April 19, 2022, the 18th meeting of the third board of directors and the 11th meeting of the third board of supervisors deliberated and adopted the proposal on confirming the remuneration of directors, supervisors and senior managers in 2021 and the remuneration scheme in 2022, which needs to be submitted to the shareholders’ meeting for deliberation and approval. The specific contents of the proposal on the remuneration scheme of directors, supervisors and managers in 2022 are announced as follows. 1、 Applicable object of the scheme

3、 Compensation scheme

(I) directors’ remuneration scheme

The chairman of the board of directors and non independent directors of the company shall receive remuneration according to the specific management positions they hold in the company and the relevant remuneration and performance appraisal management system of the company, and no allowance or other remuneration will be paid separately.

The allowance for independent directors of the company is 60000 yuan / person / year (before tax), which is paid monthly.

(II) remuneration scheme for supervisors

The supervisors of the company receive remuneration according to their specific positions in the company and the relevant salary and performance appraisal management system of the company, and will not receive supervisor allowance separately.

(III) remuneration scheme for senior managers

Senior managers of the company shall receive salary according to their respective management positions in the company and relevant salary and performance appraisal management system of the company.

The annual salary of the general manager of the company is 420000; The annual salary of the company’s deputy general manager (including the Secretary of the board of directors and the chief financial officer) is between 200000 and 300000.

The salary of the above personnel includes fixed salary and performance bonus. The performance bonus is linked to the completion of the company’s annual business indicators and personal performance evaluation, and the actual payment amount may fluctuate.

4、 Other instructions

The remuneration paid by the company is pre tax. The company will withhold and pay individual income tax and various social insurance expenses from the remuneration in accordance with the relevant provisions of the state and the company.

The relevant expenses of directors, supervisors and senior managers participating in the meetings of the board of directors, special committees of the board of directors, meetings of the board of supervisors and general meetings of shareholders shall be borne by the company.

Independent directors believe that:

The remuneration plan of the company’s directors, supervisors and senior managers in 2022 is formulated according to the remuneration level of the company’s industry and in combination with the actual operation of the company. The formulation process and voting procedures are legal and effective, without any damage to the rights and interests of the company and shareholders, and comply with relevant national laws, regulations and the articles of association. We agree to the proposal on confirming the remuneration of directors, supervisors and senior managers of the company in 2021 and the remuneration scheme in 2022, and agree to submit the proposal to the 2022 annual general meeting of shareholders of the company for deliberation.
