Announcement on the remuneration scheme of directors, supervisors and senior managers in 2022

Kunshan Guoli Electronic Technology Co.Ltd(688103) (hereinafter referred to as “the company”) formulates the remuneration plan for directors, supervisors and senior managers in 2022 in accordance with the articles of association, detailed rules for the remuneration and assessment committee of the board of directors and other relevant systems of the company, combined with the actual operation of the company and with reference to the remuneration level of the industry and region. This plan has been deliberated and approved at the 15th meeting of the second board of directors and the 9th meeting of the second board of supervisors held on April 18, 2022. The remuneration plan of directors and supervisors needs to be submitted to the 2021 annual general meeting of shareholders of the company for deliberation. The specific contents are hereby announced as follows:
1、 Applicable object and period of this scheme
Applicable to: directors, supervisors and senior managers of the company during their term of office in 2022
Application period: from January 1, 2022 to December 31, 2022
2、 Salary payment standard
(I) directors’ remuneration
Non independent directors of the company receive remuneration according to their positions in the company and do not receive additional director allowance; External non independent directors who do not serve in the company do not receive any remuneration or director allowance; The independent directors of the company receive an independent director allowance of 100000 yuan / year (before tax).
(II) remuneration of supervisors
The supervisors of the company shall receive post salary according to their posts in the company, and shall not receive additional supervisor allowance; Supervisors who do not work in the company will not receive salary or supervisor allowance.
(III) remuneration of senior managers
Senior managers receive their salaries according to their specific positions in the company and the relevant salary and performance appraisal management system of the company.
3、 Other provisions
(1) The above salary is the amount before tax, and the personal income tax involved is uniformly withheld and paid by the company; (2) The relevant expenses of directors, supervisors and senior managers attending the general meeting of shareholders, the board of directors, the board of supervisors and the special committee of the board of directors shall be borne by the company;
(3) If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, the remuneration shall be calculated and paid according to their actual term of office.
4、 Review procedures for implementation
(I) deliberations of the remuneration and assessment committee of the board of directors
The third meeting of the remuneration and assessment committee of the second board of directors of the company deliberated and approved the proposal on the remuneration scheme of directors and senior managers of the company in 2022, and agreed to submit the above proposal to the board of directors of the company for deliberation.
(II) deliberations of the board of directors
The company held the 15th meeting of the second board of directors on April 18, 2022, deliberated and passed the proposal on the remuneration scheme of the company’s directors and senior managers in 2022, agreed to the remuneration scheme of senior managers, and agreed to submit the remuneration scheme of directors to the company’s 2021 annual general meeting for deliberation.
(III) deliberation of the board of supervisors
The company held the 9th meeting of the second board of supervisors on April 18, 2022, deliberated and approved the proposal on the remuneration plan of the company’s supervisors in 2022, and agreed to submit it to the company’s 2021 annual general meeting for deliberation.
5、 Opinions of independent directors
The remuneration plan for the directors and senior managers of the company in 2022 was formulated by the board of directors of the company in combination with the actual situation of the company and with reference to the remuneration level of the industry, which is in line with the provisions of laws and regulations and the articles of association, and does not harm the interests of the company and shareholders, especially small and medium-sized shareholders. We unanimously agree on the company’s remuneration plan for directors and senior managers in 2022 and agree to submit the remuneration plan for directors to the general meeting of shareholders for deliberation.
