Annual remuneration plan for directors and senior managers in 2022
In order to further improve the internal governance of the company, effectively mobilize the work enthusiasm of directors and senior managers, and establish an incentive and restraint mechanism suitable for the modern enterprise system, according to the relevant provisions of the company law and other laws and regulations, normative documents and the articles of association, and in combination with the regional salary level, the operation of the company and the future talent planning and introduction of the company, Approved by the 16th meeting of the third board of directors, the remuneration of directors and senior managers in 2022 shall be implemented in accordance with the remuneration management system for directors, supervisors and senior managers, i.e. the following standards:
1、 Directors’ remuneration
1. If the director is an employee of the company (subject to the signing of the labor contract), he will receive work remuneration according to his specific work position in the company without additional allowance.
2. The chairman’s allowance is 5 Ping An Bank Co.Ltd(000001) 20000 yuan / year before tax. If the chairman does not participate in daily operation and management, he will not set performance bonus. If he participates in daily operation, he will participate in annual performance appraisal, and the annual performance bonus will be paid according to the appraisal results.
3. Except for independent directors, external directors of the company do not receive remuneration in the company.
4. In 2022, the allowance for independent directors of the company is 80000 yuan / year before tax, and the expenses incurred in performing their duties shall be reimbursed by the company.
2、 Executive compensation
1. Senior managers are paid annually, and the salary level is linked to their responsibilities, risks, personal ability and business performance.

2. The annual salary of senior managers is composed of basic salary and floating performance bonus. The basic salary is determined by comprehensively considering the post importance, responsibilities, personal ability, market salary and other factors, and is paid on a monthly basis; The performance bonus shall be issued according to the achievement of annual performance indicators, the completion of key tasks, organization and management and other comprehensive annual assessment. The remuneration and assessment committee of the board of directors of the company is responsible for reviewing the performance of duties of assessment objects and conducting annual assessment. The company’s human resources center and financial center cooperate with the remuneration and assessment committee of the board of directors to implement the remuneration scheme.
