As an independent director of Shareate Tools Ltd(688257) (hereinafter referred to as “the company”), in accordance with the relevant provisions and requirements of relevant laws, regulations and the articles of association, such as the guidelines for the supervision of listed companies No. 8 – regulatory requirements for capital exchanges and external guarantees of listed companies, the rules for the listing of shares on the science and Innovation Board of Shanghai Stock Exchange and the relevant provisions and requirements of Shareate Tools Ltd(688257) (hereinafter referred to as “the company”), Carefully check the external guarantee of the company during the reporting period (January 1, 2021 to December 31, 2021), and issue special instructions and independent opinions as follows:
