Announcement on resolutions of the first extraordinary meeting of the Fifth Board of supervisors in 2022
The company and all members of the board of supervisors guarantee that the information disclosed is true, accurate and complete without false records, misleading statements or major omissions.
The first temporary meeting of the Fifth Board of supervisors in 2022 was held in the conference room on the 6th floor of Ocean’S King Lighting Science & Technology Co.Ltd(002724) science and technology building, No. 1601, Gaoxin Road, Guangming New Area, Shenzhen on January 10, 2022. The notice of convening this meeting has been delivered to all supervisors by telephone, e-mail, written and other means on January 8, 2022. There are 3 supervisors who should be present and 3 actually present, namely Pan Wei, Zeng Chunlian and Lu Zhidan. The meeting shall be held on site in combination with communication voting.
The meeting was presided over by Mr. Pan Wei, chairman of the board of supervisors. The convening, convening and voting procedures of the meeting comply with the provisions of relevant laws, regulations, rules, normative documents and the articles of association. After deliberation, the following resolutions were adopted at the meeting of the board of supervisors:
1. The proposal on investment in the establishment of a holding subsidiary and related party transactions of Shenzhen Ocean’S King Lighting Science & Technology Co.Ltd(002724) Public Lighting Technology Co., Ltd. was deliberated and adopted
1 in favor, 0 in abstention, 0 against and 2 in avoidance.
Lu Zhidan and Zeng Chunlian, the supervisors of the company, were the related supervisors of the holding subsidiary established by the foreign investment and avoided voting.
The supervisors attending the meeting agreed that the investment and establishment of a holding subsidiary is a prudent decision made from the long-term operation and sustainable development of the company, in line with the company’s strategic planning, and has fulfilled the necessary review procedures and in line with the provisions of relevant laws and regulations. This connected transaction did not harm the interests of the company and all shareholders.

4. The proposal on providing guarantee for Shenzhen Ocean’S King Lighting Science & Technology Co.Ltd(002724) Lighting Engineering Co., Ltd. to apply for comprehensive credit from the bank was deliberated and adopted
3 in favor, 0 abstention and 0 against.
The supervisors attending the meeting agreed that the company provided guarantee for the wholly-owned subsidiary Shenzhen Ocean’S King Lighting Science & Technology Co.Ltd(002724) Lighting Engineering Co., Ltd. to apply for a comprehensive credit of RMB 100 million from the bank, which is conducive to the wholly-owned subsidiary raising the funds required for operation, further improving its economic benefits, in line with the interests of all shareholders and the company as a whole, and does not damage the interests of minority shareholders. The guarantee to be provided by the company and the approval procedures for its performance comply with the provisions of relevant laws and regulations and the articles of association. The credit is valid for 2 years, and the actual guarantee limit and term shall be subject to the guarantee contract actually issued to the bank.
