(hereinafter referred to as “Sichuan ecological environmental protection group”), According to the reply of the state owned assets supervision and Administration Commission of Sichuan provincial government on the establishment plan of Sichuan eco environmental protection industry group Co., Ltd. (cgzg) [2021] No. 40), Sichuan eco environmental protection group has notified the listed company of some business adjustments, and the relevant information is hereby announced as follows:
1、 Basic information of business adjustment
According to the reply of the state owned assets supervision and Administration Commission of Sichuan provincial government on the establishment plan of Sichuan Ecological Environmental Protection Industry Group Co., Ltd. (cgzg [2021] No. 40), Sichuan Energy Investment Group Co., Ltd., Sichuan Investment Group Co., Ltd Sichuan state owned assets operation and Investment Management Co., Ltd. integrated its environmental protection assets and established Sichuan Ecological Environmental Protection Industry Group Co., Ltd. after the establishment, Sichuan Ecological Environmental Protection Industry Group Co., Ltd. obtained 52% equity of Sichuan Environmental Protection Industry Group Co., Ltd. (hereinafter referred to as “Sichuan Environmental Protection Company”) Sichuan Chuantou Water Group Co., Ltd. (hereinafter referred to as “Chuantou water”) has 100% equity and Sichuan Guohuan Jinze Technology Co., Ltd. has 60% equity.
At present, Sichuan eco environmental protection group has completed the industrial and commercial change procedures of Sichuan Environmental Protection Company and is going through the industrial and commercial change procedures of Sichuan investment water company and Guohuan Jinze company. After the change, the main holding subsidiaries of Sichuan eco environmental protection group are: Beijing Spc Environment Protection Tech Co.Ltd(002573) , Sichuan development hengneng Environmental Technology Co., Ltd., Sichuan development environmental science and Technology Research Institute Co., Ltd Sichuan Environmental Protection Industry Group Co., Ltd., Sichuan Chuantou Water Group Co., Ltd., Sichuan Guohuan Jinze Technology Co., Ltd.
2、 Reasons for not constituting horizontal competition
At present, the company’s main business segments include air pollution control, water pollution control, solid waste pollution control, energy conservation, comprehensive utilization of resources, etc. The existing businesses of Sichuan Environmental Protection Company and Sichuan investment water company include tap water supply, sewage treatment and water environment treatment, which are the same or similar to the company. According to paragraph 1 of Article 2 of the measures for the administration of franchising of Municipal Public Utilities: “The franchising of municipal public utilities as mentioned in these Measures refers to the system in which the government selects investors or operators of municipal public utilities through the market competition mechanism in accordance with relevant laws and regulations, and specifies that they operate a certain municipal public utility product or provide a certain service within a certain period of time and scope.” If franchising is implemented according to law, the franchisee shall invest in a municipal public utility product or provide a service within the agreed scope. Therefore, the regional scope of the franchisee’s main business and the products or services provided are uncertain. The business scope of tap water supply, sewage treatment and water environment treatment invested and operated by Sichuan Environmental Protection Company and Sichuan investment water company is deterministic.
