As an independent director of the seventh board of directors of Pengdu Agriculture & Animal Husbandry Co.Ltd(002505) (hereinafter referred to as ” Pengdu Agriculture & Animal Husbandry Co.Ltd(002505) ” or “the company”) in accordance with the guiding opinions on establishing an independent director system in listed companies, the articles of association, the rules of procedure of the board of directors, the working system of independent directors and other relevant provisions of the CSRC, We have carefully considered the relevant proposals considered at the 19th meeting of the seventh board of directors, and based on our independent judgment, we express our independent opinions as follows:
1. Independent opinions on signing the entrusted management agreement and related party transactions
This related party transaction is conducive to avoiding horizontal competition. The pricing principle of related party transactions is fair, there is no damage to the interests of the company and all shareholders, especially small and medium-sized shareholders, and does not have a significant impact on the independence of the company. The decision-making procedures of the board of directors for reviewing this connected transaction comply with the provisions of relevant laws and regulations and the articles of association, and the decision-making procedures are legal and effective. Therefore, we agree to this related party transaction of the company.
