On the basis of understanding relevant information, we express our opinions on relevant proposals as follows: 1. Prior approval opinions on the proposal on signing the entrusted management agreement and related party transactions
The entrusted management agreement and related party transactions signed between the company and Shanghai Pengxin agricultural investment (Group) Co., Ltd. comply with the provisions of relevant laws, regulations and other normative documents, which is conducive to avoiding horizontal competition. At the same time, the pricing of this related party transaction is fair, there is no damage to the interests of the company and all shareholders, especially minority shareholders, and does not have a significant impact on the independence of the company. We agree that the proposal shall be submitted to the board of directors of the company for deliberation, and the related directors shall avoid voting at that time.
