Suzhou Huaya Intelligence Technology Co.Ltd(003043) (hereinafter referred to as "the company") convened the 12th meeting of the second board of directors on April 18, 2022 to consider the proposal on the remuneration (allowance) scheme of directors in 2022 and the proposal on the remuneration scheme of non director senior managers in 2022; The 10th meeting of the second board of supervisors was held on April 18, 2022 to consider the proposal on the remuneration scheme of supervisors in 2022. Relevant matters are hereby announced as follows:

1、 2022 directors' remuneration (allowance) scheme

In order to strengthen the diligence of directors (including those who hold internal positions in the company), improve work efficiency and operating efficiency, and ensure the sustainable, stable and healthy development of the company, according to the salary level of comparable companies in the same industry, the director's salary (allowance) scheme for 2022 is formulated as follows:

The annual salary of the company's directors is divided into two parts: basic annual salary and incentive annual salary. The basic annual salary is paid monthly, and the incentive annual salary is paid in the next year.

(2) The salary is pre tax, and the individual income tax payable shall be withheld and paid by the company.

(3) If a director of the company leaves office due to change of term, re-election, resignation during his term of office and other reasons, his remuneration shall be calculated and paid according to his actual term of office.

Note: all directors of the company abstained from voting on the proposal on director's remuneration (allowance) scheme in 2022. The voting status of the proposal: 0 in favor, 0 against and 0 abstention. The proposals involved in the 2022 directors' remuneration (allowance) plan shall be submitted to the 2021 annual general meeting for deliberation. As related matters are involved, the actual controllers of the company, Wang Cainan, Lu Qiaoying, Wang Jingyu and the shareholders of the company, Suzhou chunyuxin investment consulting service partnership (limited partnership), will abstain from voting on this proposal at the general meeting of shareholders.

2、 Remuneration plan for non directors and senior managers in 2022

The annual salary of senior managers of the company is divided into two parts: basic annual salary and reward annual salary. The basic annual salary is paid monthly, and the reward annual salary is paid in the next year.
