Baoding Lucky Innovative Materials Co.Ltd(300446) (hereinafter referred to as "the company") convened the 14th meeting of the 4th board of directors and the 11th meeting of the 4th board of supervisors on April 15, 2022, deliberated and approved the proposal on the remuneration scheme for directors, supervisors and senior managers and adjustment of independent directors' allowances in 2022, which still needs to be deliberated by the general meeting of shareholders. The details are hereby announced as follows:

1、 Remuneration plan for directors, supervisors and senior managers in 2022

According to the articles of association, working rules of the remuneration and assessment committee, contract scheme for professional managers and other relevant systems, combined with the company's business scale and referring to the industry level, the company has formulated the remuneration scheme for directors, supervisors and senior managers in 2022.

(III) salary standard

1. Directors (excluding independent directors and directors paid in shareholder units): directors who hold specific positions or are responsible for specific work in the company (excluding independent directors and directors paid in shareholder units) receive remuneration according to their contracts with the company, their positions and actual work in the company and the company's remuneration system, and enjoy various social insurance and other welfare benefits of the company, The company will not pay director's allowance separately. 2. Independent directors: in view of the significant responsibilities of independent directors in the standardized operation of the company and the company's planning of asset restructuring projects, in order to reflect the principle of risk reward, the remuneration and assessment committee of the board of directors proposed that the company combine with the public

According to the actual situation of the company, from January 1, 2022, the allowance for independent directors of the company will be adjusted from 60000 yuan per person per year (before tax) to 100000 yuan per person per year (before tax). Independent directors will no longer receive other salaries and allowances from the company, nor will they enjoy any welfare benefits of the company.

3. Supervisors (excluding those who receive salary in the shareholder unit): they receive salary according to the contract signed with the company, their positions and actual work in the company, as well as the company's salary system, and enjoy various social insurance and other welfare benefits of the company. The company will not pay supervisor's allowance separately.

4. Directors and supervisors who receive salary in the shareholder unit: in principle, they do not receive salary in the company.

5. Senior managers: senior managers conduct comprehensive performance evaluation according to their specific positions in the company, relevant salary system of the company, actual business performance of the company, personal performance and completion of annual objectives, and determine the annual salary according to the evaluation results.

1. The salary and appraisal committee shall specifically organize and manage the annual performance appraisal of the appraisal objects, supervise the implementation of the salary system, and the human resources department of the company shall cooperate with the specific implementation.

2. If the directors, supervisors and senior managers of the company leave their posts due to the change of office, transformation, resignation within the term of office and other reasons, their remuneration or allowances shall be calculated and paid according to the actual term of office.

3. The above salaries and allowances involve personal income tax, which shall be uniformly withheld and paid by the company.

4. In accordance with relevant laws and regulations and the articles of association, the above-mentioned remuneration scheme for senior managers shall take effect from the date of deliberation and approval by the board of directors, and the remuneration scheme for directors and supervisors shall not take effect until it is submitted to the general meeting of shareholders for deliberation and approval.
