Commitment issued on the basis of full due diligence and approval
Citic Securities Company Limited(600030) (hereinafter referred to as “the independent financial adviser”) served as the independent financial adviser of Enn Natural Gas Co.Ltd(600803) (hereinafter referred to as “listed company” or ” Enn Natural Gas Co.Ltd(600803) “), and issued verification opinions on the report on Enn Natural Gas Co.Ltd(600803) issuing shares and paying cash to purchase assets and related party transactions (Draft). The independent financial advisor makes the following commitments on the basis of full due diligence and approval:
1. The independent financial advisor has no other interest relationship with the trading parties involved in the restructuring, and the relevant opinions expressed on the exchange are completely independent;
2. The documents and materials on which the independent financial adviser’s verification opinions are based shall be provided by all parties to the transaction. Each party to the transaction has issued a commitment to be responsible for the authenticity, accuracy and integrity of the information provided, ensure that such information is free from false records, misleading statements and major omissions, and bear individual and joint legal liabilities for the authenticity, accuracy and integrity of the information provided. The independent financial advisor will not bear any risks and responsibilities arising therefrom; 3. The independent financial advisor has fulfilled the obligation of due diligence in accordance with relevant laws, administrative regulations and the provisions of the CSRC, and has sufficient reasons to believe that there is no material difference between the professional opinions expressed and the documents disclosed by Enn Natural Gas Co.Ltd(600803) and the counterparty;
4. The independent financial advisor has fully verified the documents disclosed by the counterparty of the listed company and is sure that the content and format of the disclosed documents meet the requirements;
5. The independent financial adviser has sufficient reasons to believe that the major asset restructuring plan entrusted by the listed company to the independent financial adviser to issue opinions complies with laws, regulations and relevant provisions of the CSRC and the stock exchange, and the information disclosed is true, accurate and complete, without false records, misleading statements or major omissions;
6. Professional opinions on this transaction have been submitted to the independent financial advisor’s core institution for review, and the core institution agrees to issue such professional opinions;
7. During the period from contact with the listed company to acting as an independent financial adviser, the independent financial adviser has taken strict confidentiality measures, strictly implemented the risk control and internal isolation system, and there are no problems of insider trading, market manipulation and securities fraud;
8. The independent financial advisor has not entrusted or authorized any other institution or individual to provide information not listed in the verification opinions and make any explanation or explanation on the verification opinions;
The independent financial advisor requests all shareholders and investors of Enn Natural Gas Co.Ltd(600803) to carefully read the relevant announcements disclosed on this transaction and consult the relevant documents.
