Citic Securities Company Limited(600030) (hereinafter referred to as ” Citic Securities Company Limited(600030) ” or “independent financial consultant”) as an independent financial consultant of Enn Natural Gas Co.Ltd(600803) (hereinafter referred to as ” Enn Natural Gas Co.Ltd(600803) ” or “listed company”) issued shares and paid cash to purchase assets and related party transactions (hereinafter referred to as “this transaction”), checked the formulation and implementation of Enn Natural Gas Co.Ltd(600803) insider registration system, as follows:
1、 Formulation and implementation of the company’s insider registration system
On December 28, 2011, the listed company held the 12th meeting of the 6th board of directors, deliberated and adopted the registration and management system for insiders.
On July 10, 2019, the listed company held the 44th meeting of the eighth board of directors, deliberated and adopted the proposal on Amending the registration and management system of insiders of the company, revised the registration and management system of insiders of the company, and made an announcement.
During the planning of this transaction, the listed company and the relevant parties of this transaction have taken necessary and sufficient confidentiality measures and signed confidentiality agreements with the relevant parties to limit the scope of knowledge of relevant sensitive information. In order to safeguard the interests of investors and avoid significant impact on the share price of listed companies, the trading of shares of listed companies will be suspended from the opening of the market on October 21, 2021 upon the application of listed companies.
The listed company and the relevant parties of this transaction have taken strict confidentiality measures to limit the scope of knowledge of relevant sensitive information and ensure that the information is within the controllable range. The company registered the insiders involved in this transaction and timely reported the list of insiders to Shanghai Stock Exchange. In addition, the listed company also made a memorandum on the transaction process, recording the specific links and progress of the transaction, including the time, place, participating institutions and personnel of scheme discussion, work content communication and other matters, and registered with the Shanghai stock exchange for the record.

After verification, the independent financial adviser believes that:

In accordance with the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the Listing Rules of Shanghai Stock Exchange, the measures for the administration of information disclosure of listed companies, the provisions on the registration and administration system of insiders of listed companies and other relevant laws and regulations, as well as the relevant provisions of the Enn Natural Gas Co.Ltd(600803) articles of association and the Enn Natural Gas Co.Ltd(600803) information disclosure management system, The registration and management system for insiders of inside information has been formulated, which is in line with the provisions of relevant laws and regulations.
2. In this transaction, the listed company carried out the registration and reporting of insiders in accordance with the registration and management system of insiders, which is in line with the provisions of relevant laws, regulations and company systems.
