Enn Natural Gas Co.Ltd(600803) (hereinafter referred to as “the listed company”) intends to issue shares and pay cash to ENN Technology Development Co., Ltd., ENN Group Co., Ltd. and ENN holding Investment Co., Ltd. to purchase 90% equity of ENN (Zhoushan) LNG Co., Ltd. (hereinafter referred to as “this transaction”) China Securities Co.Ltd(601066) (hereinafter referred to as ” China Securities Co.Ltd(601066) ” or “the independent financial adviser”) as the independent financial adviser of this transaction, in accordance with the relevant requirements of the opinions on strengthening the risk prevention and control of honest employment such as hiring a third party by securities companies in investment banking business (CSRC announcement [2018] No. 22) (hereinafter referred to as “the opinions on Honest Employment”) issued by the China Securities Regulatory Commission, The independent financial advisor and the listed company have checked the behavior of employing a third party institution or individual (hereinafter referred to as “the third party”) in this transaction and expressed the following opinions:
