Announcement on the general election of the board of directors
The company and all members of the board of directors guarantee that the information disclosed is true, accurate and complete without false records, misleading statements or major omissions.
Whereas the term of office of the seventh board of directors of Shandong Denghai Seeds Co.Ltd(002041) (hereinafter referred to as “the company”) expires in April 2022, the board of directors of the company will be elected in accordance with the company law, the stock listing rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and other laws and regulations, normative documents and the relevant provisions of the articles of association. The details are as follows:
1、 The 8th board of directors and candidates for the board of directors
The 8th board of directors of the company consists of 9 directors, including 6 non independent directors and 3 independent directors. Upon nomination and recommendation by the board of directors, the nomination committee of the board of directors conducted qualification examination. The board of directors nominated Wang Longxiang, Yan ideal, Jiang Weijuan, Tang Shiwei, Cheng Li and Zhang Xiquan as candidates for non independent directors of the eighth board of directors; Liu Haiying, Huang Fangliang and sun Airong are nominated as candidates for independent directors of the eighth board of directors (see the annex for the resume of candidates for directors of the eighth board of directors).
2、 Election method of directors of the 8th board of directors
According to relevant regulations, the qualifications of the above independent director candidates shall be reviewed by Shenzhen Stock Exchange and submitted to the general meeting of shareholders of the company together with other non independent director candidates for deliberation. The non independent directors and independent directors of the eighth board of directors of the company are elected by cumulative voting system respectively. The term of office of the directors is three years from the date of deliberation and approval by the general meeting of shareholders of the company.
3、 Other instructions
Among the candidates for directors of the eighth board of directors of the company, the total number of directors concurrently serving as senior managers of the company and employees’ representatives does not exceed half of the total number of directors of the company. The number of candidates for independent directors shall not be less than one third of the total number of directors of the company. Liu Haiying, Huang Fangliang and sun Airong, the candidates for independent directors of the company, have obtained the qualification certificate of independent directors recognized by the CSRC, among which Liu Haiying is the candidate for independent directors majoring in accounting.
In order to ensure the normal operation of the board of directors, before the new board of directors takes office, the original directors will still faithfully and diligently perform their duties in accordance with laws, administrative regulations, departmental rules, normative documents and the articles of association, and shall not commit any act detrimental to the interests of the company and shareholders.

Mr. Wang Longxiang: Chinese nationality, born in November 1971, accountant, college degree. Since joining the work in 1990, he has been engaged in the company’s financial management. He has successively served as the chief accountant of the company, the chief of the finance section and the head of the accounting department of the finance department. From 2007 to April 2019, he served as Shandong Denghai Seeds Co.Ltd(002041) chief financial officer. From April 2019 to now, he has served as the chairman of Shandong Denghai Seeds Co.Ltd(002041) company. Not concurrently holding any other position.
Mr. Yan ideal: Chinese nationality, born in November 1979, Party member of the Communist Party of China, bachelor degree. Since joining the work in 2002, he has been engaged in the promotion and sales of new compact maize varieties. He has successively served as Shandong Denghai Seeds Co.Ltd(002041) shandong regional sales manager, deputy manager of marketing center, deputy manager of sales department and manager of marketing department, regional sales manager, deputy general manager and chairman assistant of Huanghuaihai East region.
