Runa Smart Equipment Co.Ltd(301129) (hereinafter referred to as “the company” or “the company”) held the 7th Meeting of the 2nd board of directors and the 7th Meeting of the 2nd board of supervisors on April 15, 2022, which respectively deliberated and approved the proposal on the company’s 2022 annual director’s salary plan, the proposal on the company’s 2022 annual senior management’s salary plan and the proposal on the company’s 2022 annual supervisor’s salary plan, The independent directors of the company have expressed their independent opinions on the remuneration scheme of directors and senior managers, and the remuneration scheme of directors and supervisors needs to be submitted to the general meeting of shareholders of the company for deliberation. The details are hereby announced as follows:
1、 Applicable to: directors, supervisors and senior managers of the company.
2、 Applicable period: from January 1, 2022 to December 31, 2022.
3、 Salary standard:
(I) remuneration plan of the company’s directors
1. Non independent directors of the company who hold management positions in the company will receive remuneration according to their management positions. Directors who do not hold management positions will not receive director allowance.
2. The allowance for independent directors of the company is 70000 yuan / year (before tax).
(II) remuneration scheme of the company’s supervisors
The supervisors of the company shall not receive the supervisor’s allowance except the remuneration according to their positions in the company.
(III) remuneration scheme for senior management of the company
Senior managers of the company shall receive salary according to relevant salary regulations of the company according to their specific management positions in the company.
4、 Other provisions:
1. The remuneration of independent directors shall be paid annually, and the basic remuneration of non independent directors shall be paid monthly;
2. The basic salary of the company’s supervisors shall be paid on a monthly basis;
3. The basic salary and post allowance of senior managers of the company shall be paid on a monthly basis;
4. If the directors, supervisors and senior managers of the company leave their posts due to their term of office, re-election or resignation during their term of office, they shall be calculated and paid according to their actual term of office.;
5. The performance salary of the above personnel will fluctuate according to the actual payment amount of the company’s annual operation; 6. The above salary amounts are pre tax amounts, and the individual income tax involved shall be uniformly withheld and paid by the company. 5、 Effective date:
The above-mentioned remuneration scheme for senior managers shall take effect from the date of deliberation and approval by the board of directors, and the remuneration scheme for directors and supervisors shall not take effect until it is submitted to the general meeting of shareholders for deliberation and approval.
