Special note on external guarantee of the company in 2021
In accordance with the relevant provisions of the guidance on the establishment of independent director system in listed companies, the guidance on the supervision of listed companies No. 8 – regulatory requirements for capital exchanges and external guarantees of listed companies, and the notice on Several Issues concerning the regulation of capital exchanges between listed companies and related parties and external guarantees of listed companies issued by the China Securities Regulatory Commission, As an independent director of Xi’An Manareco New Materials Co.Ltd(688550) (hereinafter referred to as “the company”), based on the independent, objective and fair position and the attitude of being responsible to the company and all shareholders, we have carefully understood and verified the external guarantee of the company in 2021 and issued a special explanation, which is as follows:
1. During the reporting period, the company did not provide guarantees for the largest shareholder, actual controller, other organizations or individuals except for providing guarantees for wholly-owned subsidiaries. The guarantees between the company and its subsidiaries have fulfilled the review procedures and disclosure obligations in strict accordance with the relevant provisions of the company law and the articles of association. 2. During the reporting period, the total amount guaranteed by the company for its subsidiaries was 149795 million yuan. As of December 31, 2021, the balance guaranteed by the company for its subsidiaries was 6.641 million yuan.
3. The company strictly implements relevant laws, regulations and relevant provisions of the articles of association on external guarantees. The company and its subsidiaries do not have any illegal external guarantees or overdue guarantees, nor do they harm the interests of the company and all shareholders, especially minority shareholders.
