In accordance with the guidelines for the supervision of listed companies No. 8 – regulatory requirements for capital transactions and external guarantees of listed companies, the Listing Rules of Shanghai Stock Exchange and other relevant provisions, as independent directors of Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) (hereinafter referred to as “the company” or ” Guangxi Wuzhou Zhongheng Group Co.Ltd(600252) “), we have carefully checked the external guarantees of the company in 2021 with a serious, responsible and realistic attitude, and our opinions are as follows:
1、 As of the end of the reporting period, the company’s external guarantees
During the reporting period, the company did not provide guarantees for the controlling shareholders and their related parties. As of December 31, 2021, the company’s guarantee balance totaled RMB 338549400, accounting for 5.11% of the company’s net assets at the end of the reporting period. The guaranteed company is the holding subsidiary of the company and there is no overdue guarantee.
2、 Independent opinions on the company’s external guarantee in 2021
We believe that the guarantee matters occurred in 2021 are the needs of normal production and operation, which is conducive to the business development of the company and its subsidiaries. The review procedures are legal and effective. The guarantee matters and amount are within the scope reviewed and approved by the board of directors and the general meeting of shareholders. There is no illegal guarantee behavior, which effectively protects the legitimate rights and interests of the majority of shareholders, and there is no damage to the interests of the company and shareholders.
