Sichuan Yahua Industrial Group Co.Ltd(002497) (hereinafter referred to as ” Sichuan Yahua Industrial Group Co.Ltd(002497) ” or “the company”) the board of directors sent a notice on convening the 12th meeting of the 5th board of directors to all directors on April 11, 2022 by personal delivery, fax, etc. The meeting was held on April 15, 2022 in the conference room of the company by on-site voting and written voting. Nine directors should have been present at the meeting, nine actually, and three supervisors attended the meeting as nonvoting delegates. In order to meet the demand of lithium resources for the development of the company’s lithium industry, after deliberation by the board of directors, it is agreed that the wholly-owned subsidiary Yahua International Investment Development Co., Ltd. will raise funds by itself to subscribe 21276596 units of shares of Canada super Lithium Industry Co., Ltd. (English Name: ultra lithium Inc., hereinafter referred to as “ultra lithium company”) at a total consideration of $5 million (the specific subscription quantity and unit price shall be subject to the approval of the multiple stock exchange), The equity subscribed this time accounts for about 13.23% of the total share capital of Chaoli company as of the date of this announcement. It is agreed that Yahua international will purchase 60% of the equity of the wholly-owned subsidiary of super lithium company in cash and hold its Fugen lake lithium mine and Georgia lake lithium mine projects. The board of directors authorized the management team of the company to organize and implement the equity subscription and mining right investment.
