Independent opinions of independent directors on some senior managers of the company concurrently serving as senior managers of controlling shareholders
As an independent director of China State Construction Engineering Corporation Limited(601668) (hereinafter referred to as “the company”), we, based on the principle of independence and prudence and in accordance with the requirements of China Securities Regulatory Commission, paid tribute to Mr. Zheng xuexuan, then president, Mr. Wang Yunlin, vice president and chief financial officer, Mr. Zhao Xiaojiang, vice president, Mr. Ma Zeping, vice president Mr. Zhou Yong, the vice president, and Ms. Shan Guangxiu, the vice president, supervised the performance of their duties during the period when they concurrently served as senior managers of the company’s controlling shareholder China State Construction Engineering Corporation Limited(601668) Group Co., Ltd. in 2021. Now they express their independent opinions as follows:
During their part-time jobs in 2021, Mr. Zheng xuexuan, Mr. Wang Yunlin, Mr. Zhao Xiaojiang, Mr. Ma Zeping, Mr. Zhou Yong and Ms. Shan Guangxiu earnestly fulfilled their commitments, performed their duties diligently, gave priority to the duties of the company’s senior managers, handled the relationship between the company and the controlling shareholders, and safeguarded the interests of the company and all shareholders. He has not done any behavior that damages the interests of the company’s shareholders, especially the minority shareholders, due to his part-time job.
