In accordance with the relevant provisions of the guidelines for the supervision of listed companies No. 8 – capital exchanges and external guarantees of listed companies, the stock listing rules of Shanghai Stock Exchange, the guidelines for the self regulatory supervision of listed companies of Shanghai Stock Exchange No. 1 – standardized operation, and the China State Construction Engineering Corporation Limited(601668) articles of Association (hereinafter referred to as the “articles of association”), We have carefully reviewed the proposal on the guarantee amount of China State Construction Engineering Corporation Limited(601668) (hereinafter referred to as “the company”) for 2022 submitted to the 15th meeting of the third board of directors for deliberation, and now express independent opinions as follows:
The purpose of the new external guarantee amount of the company and its wholly-owned and holding subsidiaries in 2022 is to effectively support the business development needs of all subsidiaries and provide strong support for the operation and development of all businesses of the company. The guaranteed objects involved in the new external guarantee are in stable operation, good credit and controllable guarantee risk, which will not damage the interests of the company and shareholders, especially small and medium-sized shareholders.
When the board of directors deliberated the above proposals, the voting procedures were in line with the relevant provisions of laws and regulations, normative documents and the articles of association.
We agree to the proposal on the guarantee amount of China State Construction Engineering Corporation Limited(601668) 2022 and agree to submit the guarantee to the general meeting of shareholders of the company for deliberation and approval before implementation.
