Matters concerning the company’s intention to participate in the investment and establishment of limited partnership and related party transactions
The company’s foreign investment in the establishment of partnership and related party transactions meets the needs of the company’s overall development. It is based on the principle of equality and mutual benefit. The capital contribution is made in currency through friendly negotiation by all parties. There is no situation that damages the interests of the company and shareholders, especially small and medium-sized shareholders. The related directors avoided voting on the proposal. The deliberation and decision-making procedures comply with relevant laws and regulations, the articles of association and other provisions, and there is no damage to the interests of the company and all shareholders, especially the interests of minority shareholders. Therefore, we unanimously agree on this investment and submit the proposal to the general meeting of shareholders of the company for deliberation.
