Announcement on the remuneration scheme of directors, supervisors and senior executives of the company in 2022

According to the articles of association of Beijing Thunisoft Co.Ltd(300271) (hereinafter referred to as “the company”) and other relevant systems, in combination with the company’s operation and with reference to the industry salary level, the salary scheme of the company’s directors, supervisors and senior managers in 2022 is as follows:

1、 Applicable object

Directors, supervisors and senior managers of the company.

2、 Applicable period

December 31, 2021 to February 31, 2022.

3、 Salary standard

1. Remuneration of directors of the company

Non independent directors of the company do not receive directors’ remuneration in the company, but receive post remuneration according to their specific management positions in the company.

The allowance for independent directors of the company is RMB 200000 / year (before tax).

2. Remuneration of supervisors of the company

The supervisors of the company do not receive the salary of supervisors in the company, but receive the post salary according to the salary standard of their post. 3. Remuneration of senior management of the company

The remuneration of the company’s senior managers shall be paid according to the company’s annual operation, their positions and performance of duties.

4、 Other provisions

1. The remuneration scheme of directors and supervisors in 2022 shall come into force after being submitted to the general meeting of shareholders of the company for deliberation and approval. The remuneration scheme of senior managers in 2022 shall be implemented after being reviewed and approved by the board of directors of the company.

2. The above salaries and allowances are pre tax amounts, and the personal income tax involved is uniformly withheld and paid by the company.

3. If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, they shall be calculated and paid according to their actual term of office.
