Announcement on the remuneration scheme of directors, supervisors and senior managers in 2022

Nanya New Material Technology Co.Ltd(688519) (hereinafter referred to as “the company”) has formulated the remuneration plan for directors, supervisors and senior managers in 2022 in accordance with the provisions of the company law, the guidelines for the governance of listed companies, the articles of association and other management measures, and in combination with the actual situation of the company and the remuneration level and job contribution of industries and regions. The specific contents are as follows:
1、 Applicable objects of this scheme
The second directors (including independent directors), supervisors and senior managers of the company
2、 Applicable period
January 1, 2022 to December 31, 2022
3、 Compensation scheme
(I) directors’ remuneration (allowance)
1. The allowance standard for external directors of the company [refers to non independent directors who do not hold other positions in the company (including wholly-owned subsidiaries)] and independent directors is 60000 yuan / year (including tax), which is paid monthly;
2. Internal directors of the company (except external directors and independent directors) receive remuneration and performance according to their positions in the company, and will not receive director’s allowance separately.
(II) remuneration (allowance) of supervisors
1. For shareholders’ representative supervisors who do not hold other positions in the company (including wholly-owned subsidiaries), the allowance standard is 60000 yuan / year (including tax), which is paid monthly;
2. Employee representative supervisors and shareholder representative supervisors holding other positions in the company (including wholly-owned subsidiaries) receive remuneration and performance according to their positions in the company, and will not receive supervisor allowance separately.
(III) senior management
1. Senior managers of the company receive remuneration according to their specific management positions in the company and the relevant remuneration and performance appraisal management system of the company;
2. The salary of the company’s senior managers is divided into basic salary and performance salary. The performance salary will be assessed by the company according to the actual situation of production and operation every year and my performance, and will be paid at the end of the year (or the beginning of the next year); (IV) the individual income tax related to the salary (allowance) of the above personnel shall be uniformly withheld and paid by the company.
(V) if the above-mentioned personnel leave office due to the change of term, re-election, resignation during the term of office, dismissal and other reasons, they shall be calculated and paid according to their actual term of office.
4、 Review procedure
On April 14, 2022, the 13th meeting of the second board of directors of the company deliberated and approved the proposal on the remuneration scheme of directors in 2022 and the proposal on the remuneration scheme of senior managers in 2022. On the same day, the 13th meeting of the second board of supervisors deliberated and adopted the proposal on the remuneration scheme of supervisors in 2022.
The proposal on the remuneration scheme of directors in 2022 and the proposal on the remuneration scheme of supervisors in 2022 need to be submitted to the 2022 annual general meeting of shareholders for deliberation.
5、 Opinions of independent directors
The independent directors believe that the remuneration plan for the directors and senior managers of the company in 2022 is formulated in combination with the actual situation of the company, the remuneration level and job contribution of the industry and region, complies with the provisions of the company law, the guidelines for the governance of listed companies, the articles of Association and other relevant laws and regulations, is conducive to the stable operation and development of the company, and does not damage the interests of the company and shareholders. The independent directors of the company agree to the remuneration plan for directors and senior managers in 2022.
