On the determination of the remuneration of directors and supervisors in 2021 and the remuneration scheme of directors and supervisors in 2022
1、 Remuneration of directors and supervisors in 2021
The annual allowance for independent directors in 2021 is 50000 yuan / year (before tax). The independent directors of the company are not entitled to other benefits except the allowance for independent directors.
2、 Remuneration plan for directors and supervisors in 2022
According to the articles of association, salary management system and other relevant systems of the company, combined with the actual situation of the company’s business scale and referring to the salary level of the industry, the salary proposal of the company’s independent directors in 2022 is as follows:
1. This proposal is applicable to the seventh session of directors and supervisors who receive remuneration in the company.
2. The application period of this proposal: from January 1, 2022 to December 31, 2022.
3. Salary standard:
(1) Independent director
The independent directors of the company adopt the allowance system. The allowance standard in 2022 is 50000 yuan (including tax), which is paid on an average monthly basis.
(2) Other directors
Directors serving in the company will receive remuneration according to their specific positions in the company and the relevant remuneration and performance appraisal management system of the company, and will not receive director allowance separately.
(3) Supervisor
Supervisors serving in the company will receive remuneration according to their specific positions in the company and the relevant remuneration and performance appraisal management system of the company, and will not receive supervisor allowance separately.
This plan can be implemented only after it is submitted to the 2021 annual general meeting of shareholders for deliberation and approval.
