Zhejiang Founder Motor Co.Ltd(002196) (hereinafter referred to as “the company”) held the 16th meeting of the 7th board of directors and the 10th meeting of the 7th board of supervisors on April 14, 2022. The remuneration of directors, supervisors and senior managers in 2021 and the remuneration scheme in 2022 were reviewed and approved. The specific information is announced as follows:
1、 Salary performance in 2021
According to the actual performance completed by the company in 2021 and the provisions of the company’s compensation management system for directors, supervisors and senior managers, the company assessed the directors, supervisors and senior managers, and determined that the total compensation of directors, supervisors and senior managers in 2021 was 6.8893 million yuan. For details, see the disclosure in the corresponding chapters of the company’s annual report.
2、 Compensation plan for 2022
In accordance with the standards for the governance of listed companies, the articles of association, the detailed rules for the implementation of the remuneration and assessment committee of the board of directors, the remuneration management system for directors, supervisors and senior managers, and in combination with the industry conditions, the actual operation of the company and the business assessment requirements, the company plans the remuneration scheme for directors, supervisors and senior managers in 2022 as follows:
(1) Scope of application: directors, supervisors and senior managers who receive remuneration in the company.
(2) Application period: from January 1, 2022 to December 31, 2022
(3) Salary standard
1. Director
(1) Independent director
The independent directors of the company adopt the allowance system. The allowance standard in 2021 is 50000 yuan (including tax), which is paid on an average monthly basis.
(2) Other directors
Directors serving in the company will receive remuneration according to their specific positions in the company and the relevant remuneration and performance appraisal management system of the company, and will not receive director allowance separately.
2. Supervisor
Supervisors serving in the company will receive remuneration according to their specific positions in the company and the relevant remuneration and performance appraisal management system of the company, and will not receive supervisor allowance separately.
3. Senior management
Senior managers in the company receive remuneration according to their specific positions in the company and the relevant salary and performance appraisal management system of the company.
3、 Other
(1) The above salaries are pre tax amounts, and the directors, supervisors and senior managers of the company shall pay individual income tax according to law.
(2) All expenses incurred by directors, supervisors and senior managers of the company in attending the meetings of the board of directors, the board of supervisors, the general meeting of shareholders and other duties shall be borne by the company.
