Compensation scheme

Leyard Optoelectronic Co.Ltd(300296) (hereinafter referred to as “the company”) formulated the remuneration plan for the directors, supervisors and senior managers of the company in 2022 in accordance with the Leyard Optoelectronic Co.Ltd(300296) articles of Association (hereinafter referred to as “the articles of association”) and other relevant systems, combined with the actual operation situation of the company and with reference to the remuneration level of industries and regions, and held the 35th meeting of the Fourth Board of directors on April 14, 2022 It was deliberated and adopted at the 31st meeting of the 4th board of supervisors. The details are as follows:

1、 Applicable object

Directors, supervisors and senior managers of the company.

2、 Applicable period

From January 1, 2022 to December 31, 2022.

3、 Salary standard

1. Director

(1) Non independent director

Non independent directors serving in the company receive remuneration, benefits and director’s allowance according to their post, performance ability and performance in actual work. The allowance standard is 60000 yuan before tax per person per year. The relevant remuneration shall be referred to the remuneration of the previous year and adjusted accordingly according to the performance of the company.

(2) Independent director

The independent directors of the company receive the independent director allowance in the company, and the allowance standard is 100000 yuan before tax per person per year. 3. Supervisor

Supervisors serving in the company receive remuneration and benefits and supervisor allowances according to their positions, performance ability and performance in actual work. The allowance standard is 40000 yuan before tax per person per year. The relevant remuneration shall be referred to the remuneration of the previous year and adjusted accordingly according to the performance of the company.

4. Senior management

Senior managers in the company receive remuneration, benefits and allowances according to their posts and their ability to perform their duties and work performance in actual work. The allowance standard is 60000 yuan before tax per person per year. The relevant remuneration is taken as a reference and adjusted accordingly according to the performance of the company.

4、 Other provisions

1. The basic salary and welfare of non independent directors, supervisors and senior managers of the company shall be paid monthly, and the performance salary and welfare shall be paid according to the annual performance appraisal; The allowance for independent directors of the company is paid monthly.

2. If the directors, supervisors and senior managers of the company leave their posts due to their term of office, re-election, resignation during their term of office and other reasons, they shall be calculated and paid according to their actual term of office.

3. According to the requirements of relevant laws and regulations and the articles of association, the remuneration of the above-mentioned senior managers shall take effect from the date of deliberation and approval by the board of directors, and the remuneration of directors and supervisors shall take effect only after being submitted to the general meeting of shareholders for deliberation and approval.

5、 Opinions of independent directors

The independent directors of the company carefully reviewed the remuneration scheme of the directors and senior managers of the company, considered that the remuneration of the directors and senior managers of the company complied with relevant laws, regulations, articles of association and other relevant provisions, and agreed to submit the proposal to the 2021 annual general meeting of shareholders of the company for deliberation. The independent directors expressed their opinions on the avoidance of the remuneration scheme of the independent directors in this matter. Independent directors are not required to express independent opinions on the remuneration of supervisors.
