This report is prepared in accordance with the guidelines for the standardized operation of companies listed on the main board of Shenzhen Stock Exchange and the guidelines for the preparation of China’s corporate social responsibility report. It is the eighth social responsibility report published by the company. Focusing on 2021, this report truly and objectively reflects the information of the company’s performance of social responsibility, and comprehensively explains the company’s cognition and practice of social responsibility from five aspects: the protection of shareholders’ and creditors’ rights and interests, the protection of employees’ rights and interests, the protection of suppliers, customers and consumers’ rights and interests, environmental protection and sustainable development, public relations and social public interests. Sinomach Precision Industry Co.Ltd(002046) is a joint-stock enterprise reorganized by Luoyang axelyan Technology Co., Ltd. and Sinomach Precision Industry Co.Ltd(002046) Co., Ltd., formerly known as “Luoyang axelyan Technology Co., Ltd.” and renamed as ” Sinomach Precision Industry Co.Ltd(002046) ” in 2020. The company’s main business covers R & D and manufacturing, industry service and technical consultation, trade service, etc. in the bearing industry, tool and abrasive tool industry and related fields. Its products are widely used in aerospace, ship weapons Automobile and rail transit, chip industry, new energy, machine tools, petrochemical industry, medical devices, refrigeration and other fields.

During the reporting period, the convening procedures and duties of the general meeting of shareholders, the board of directors and the board of supervisors of the company were legal and effective. The general meeting of shareholders adopts the form of online voting to facilitate all shareholders, especially small and medium-sized shareholders, to fully exercise their rights and participate in corporate governance. At the same time, for matters requiring prior approval opinions, independent opinions and verification opinions from independent directors and intermediary service institutions, independent directors and intermediary service institutions fulfilled their obligations and effectively safeguarded the interests of minority shareholders.

Since its listing in 2005, the company has continuously improved its corporate governance structure and internal control system in strict accordance with the requirements of relevant laws and regulations such as the company law, the securities law, the guidelines for the governance of listed companies and the Listing Rules of Shenzhen Stock Exchange. It has formed a governance structure of decision-making, supervision and execution with mutual checks and balances among the general meeting of shareholders, the board of directors, the board of supervisors and the management, and established a governance system with the articles of association as the core and the rules of procedure of the general meeting of shareholders, the rules of procedure of the board of directors and the rules of procedure of the board of supervisors as the main line.
During the reporting period, the actual situation of corporate governance met the requirements of the normative documents on the governance of listed companies issued by the China Securities Regulatory Commission, did not receive the relevant documents on the administrative supervision measures taken by the regulated authorities, did not require rectification within a time limit, and did not have the directors, supervisors and senior executives trading the company’s shares in violation of regulations. It is completely separated from the controlling shareholders in terms of business, personnel, assets, institutions and finance, and has independent and complete business and independent operation ability.

The company shall disclose information truthfully, accurately, timely and completely in accordance with relevant laws and regulations and the requirements of the company’s information disclosure management system, so as to ensure that all shareholders have equal access to information.
During the reporting period, the company disclosed 138 announcements and related documents, including 81 announcements. Follow the information disclosure rules, actively communicate with investors through Internet, telephone and other platforms, and carefully answer investors’ questions. During the reporting period, the company took various measures to improve its business performance. The company comprehensively considers the profitability, business development planning, capital demand, external financing environment, shareholder return and other factors, and determines a scientific and reasonable distribution scheme according to the requirements of relevant documents of the CSRC and Henan securities regulatory bureau and the shareholder return plan for the next three years (20212023). In 2020, 37.89% of the net profit attributable to the owner of the parent company will be distributed as dividends. In 2021, 41.99% of the net profit attributable to the owner of the parent company will be distributed as dividends to repay investors.

During the reporting period, the company focused on improving the financial risk control system. Optimize financial risk early warning indicators, improve risk prevention and control list, formulate financial risk management measures and establish financial risk management early warning mechanism; Effectively guard against capital security risks, constantly strengthen the management of bank accounts, funds and bills, and strictly control mortgages, guarantees and inter-bank lending; Continue to pay attention to the fluctuation of asset liability ratio and keep the capital structure stable and controllable; Optimize the control of “two funds” to ensure the liquidity and security of funds.
The company fully abides by the commercial rules of credit cooperation, strictly performs its contractual obligations, uses bank loans as agreed in the contract, pays principal and interest on schedule, is honest, trustworthy, legal and compliant, and effectively protects the legitimate rights and interests of creditors.
