1、 Basic information of litigation
Dongguan Kingsun Optoelectronic Co.Ltd(002638) (hereinafter referred to as “the company”) filed a lawsuit to confirm the invalidity of the mortgage contract with Dongguan intermediate people’s Court of Guangdong Province (hereinafter referred to as “Dongguan intermediate people’s court”) in March 2020 (hereinafter referred to as “this case”, case No. [2020] Yue 19 Min Chu No. 25), It is requested to confirm that ” China Citic Bank Corporation Limited(601998) Dongguan Branch (hereinafter referred to as” China Citic Bank Corporation Limited(601998) Dongguan branch “) and Dongguan Weiliang Electric Appliance Co., Ltd. (hereinafter referred to as” Weiliang electric appliance “) signed the relevant maximum mortgage contract is invalid, China Citic Bank Corporation Limited(601998) Dongguan Branch does not enjoy the mortgage right over the subject assets, and ordered China Citic Bank Corporation Limited(601998) Dongguan branch and Weiliang electric appliance to go through the mortgage cancellation registration procedures for the subject assets”, which has been filed and accepted by Dongguan intermediate people’s court. The company received the civil judgment ([2020] Yue 19 min Chu No. 25) served by Dongguan intermediate people’s Court of Guangdong Province on January 5, 2021. The court of first instance rejected all the claims of the company, and the case acceptance fee of 882049 yuan was borne by the company. After the first instance judgment, the company appealed to the higher people’s Court of Guangdong Province. 2、 The latest development of the lawsuit in this case
On April 11, 2022, the company received the civil judgment served by the higher people’s Court of Guangdong Province ([2021] Yue min Zhong No. 899). The second instance judgment rejected all the claims of the company, and the case acceptance fee of 882049 yuan was borne by the company.
3、 Impact on the company
The aforesaid judgment is the result of the second instance judgment, and the company intends to apply for retrial. This judgment will not have a significant impact on the company’s daily production and operation.
The company will continue to actively participate in litigation and earnestly safeguard the interests of the company and shareholders. It should be added that in order to protect the company’s rights and interests related to this case, before the lawsuit in this case, the company filed an objection lawsuit against the execution of outsiders to the third people’s Court of Dongguan City, Guangdong Province (hereinafter referred to as “Dongguan Third People’s court”) in November 2019 (case No. [2019] Yue 1973 min Chu 16899). In April 2020, Dongguan Third People’s court held that the execution of objection litigation by outsiders must be based on the trial results of this case, so Dongguan Third People’s court has ruled to suspend the litigation.
